1. Acceptance of Terms

Welcome to Felt, an emotional finance tracking application ("App") owned and operated by Tonic Works LLC ("Company", "we", "us", or "our"). By accessing or using the Felt mobile application, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the App.

2. Description of Service

Felt is a mobile application that allows users to track financial transactions with emotional satisfaction ratings, analyze spending patterns, and gain insights into their financial well-being. The App provides features including but not limited to:

• Transaction tracking with satisfaction ratings (1-5 scale)
• Category management and customization
• Financial analytics and insights (including "joy per dollar" metrics)
• Bank and card account linking via Plaid for transaction import (US and Canada)
• Premium subscription features (including additional connected account capacity)
• Data export functionality (CSV and PDF formats) for premium users
• AI-powered spending analysis reports using Google Gemini AI

3. Eligibility

You must be at least 13 years of age to use Felt. If you are under 18, you represent that you have your parent's or guardian's permission to use the App. By using the App, you represent and warrant that:

• You are at least 13 years old
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current

4. User Accounts

4.1 Account Creation

To use certain features of the App, you may create an account by:

• Providing a valid email address and password, or
• Using Sign In with Apple

When creating an account with email and password, you may also provide:

• A display name (optional)

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Sign In with Apple

When you use Sign In with Apple:

• Your account is linked to your Apple ID
• You can manage your Apple ID and revoke access through your Apple account settings
• If you revoke access to Sign In with Apple, you may lose access to your account unless you have set up an alternative authentication method
• Apple's use of your information is governed by Apple's Privacy Policy

4.3 Account Security

You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with third parties
• Accept responsibility for all activities under your account

4.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any other reason we deem necessary to protect our services or users

5. User Conduct and Responsibilities

5.1 Acceptable Use

You agree to use Felt only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App in any way that violates applicable laws or regulations
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the App or related systems
• Reverse engineer, decompile, or disassemble the App
• Copy, modify, or create derivative works of the App
• Use the App for any commercial purpose without our express written consent
• Impersonate any person or entity
• Interfere with or disrupt the App or servers connected to the App
• Collect or harvest information about other users

5.2 Data Accuracy

You are solely responsible for the accuracy and completeness of all data you enter into the App. We are not responsible for any errors, omissions, or inaccuracies in your data.

5.3 Financial Information

Felt is a tracking and analysis tool. We do not provide financial advice, and the App should not be used as a substitute for professional financial advice. You acknowledge that:

• The App is for informational and tracking purposes only
• You should verify all financial information independently
• We are not liable for any financial decisions you make based on App data

5.4 Bank and Card Linking (Plaid)

If you choose to connect a bank or card account for transaction import:

• Authorization: By connecting an account, you authorize Felt and Plaid to access and retrieve transaction data from your financial institution on your behalf
• Connection Limits: Free users may connect up to 1 bank or card account; premium users may connect up to 3 accounts
• Accuracy: Transaction data is retrieved from your financial institution via Plaid; we are not responsible for delays, errors, or omissions in data provided by your institution or Plaid
• Your Responsibility: You are responsible for maintaining the security of your financial institution credentials; we never receive or store these credentials
• Availability: Bank linking is available for institutions in the United States and Canada; not all institutions are supported

6. Premium Subscriptions

6.1 Subscription Plans

Felt offers premium subscription plans that provide access to additional features, including:

• Advanced analytics (joy per dollar metrics, detailed category statistics, monthly/weekly aggregations)
• Data export functionality (CSV and PDF formats)
• AI-powered spending analysis reports
• Higher export rate limits
• Additional connected bank and card accounts (up to 3 total via Plaid)

Subscription details, including pricing and features, are available within the App.

6.2 Payment Terms

• Subscriptions are billed through your device's app store (Apple App Store or Google Play Store)
• Payment will be charged to your app store account at confirmation of purchase
• Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your device's app store settings

6.3 Refund Policy

Refund requests are handled by the app store through which you purchased the subscription. We do not process refunds directly. Please contact Apple Support or Google Play Support for refund requests.

6.4 Subscription Changes

We reserve the right to modify subscription pricing and features at any time. Changes will not affect your current subscription period but may apply to renewals.

7. Intellectual Property Rights

7.1 Our Rights

The App, including all content, features, functionality, and design, is owned by Tonic Works LLC and protected by United States and international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the App or its content
• Use our trademarks, logos, or brand names without permission
• Remove any copyright or proprietary notices

7.2 Your Rights

You retain ownership of all data you create or upload to the App. By using the App, you grant us a limited, non-exclusive license to:

• Store, process, and display your data to provide the App's services
• Use aggregated, anonymized data for analytics and service improvement

8. Privacy

Your use of Felt is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Disclaimers

10.1 Service Availability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The App will be uninterrupted, secure, or error-free
• Defects will be corrected
• The App is free of viruses or other harmful components
• The results obtained from using the App will be accurate or reliable

10.2 Financial Disclaimer

Felt is a financial tracking tool and does not provide financial, investment, tax, or legal advice. You should consult with qualified professionals for advice regarding your specific financial situation.

10.3 Third-Party Services

We are not responsible for:

• The availability or accuracy of third-party services (e.g., app stores, Google Gemini AI, Firebase, Plaid)
• Any transactions or interactions between you and third parties
• Any loss or damage resulting from third-party services
• The accuracy or quality of AI-generated content from Google Gemini AI
• The availability, accuracy, or timeliness of transaction data retrieved from your financial institution via Plaid

10.4 AI-Generated Content

Felt uses Google Gemini AI to generate spending analysis reports for PDF exports. You acknowledge that:

• AI-generated insights are for informational purposes only
• AI analysis is based on patterns in your data and may not always be accurate
• We are not responsible for any decisions made based on AI-generated insights
• AI-generated content should not replace professional financial advice

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONIC WORKS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of business opportunities
• Any damages arising from your use or inability to use the App

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tonic Works LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any data you submit into the App

13. Termination

13.1 Termination by You

You may stop using the App at any time by deleting your account through the App settings or by uninstalling the App.

13.2 Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including if you breach these Terms.

13.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• We may delete your account and data (subject to our Privacy Policy)
• Provisions that by their nature should survive termination will remain in effect

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms in the App
• Updating the "Last Updated" date
• Providing notice through the App or via email (if applicable)

Your continued use of the App after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App.

15. Governing Law and Dispute Resolution

15.1 Governing Law

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

17. App Store Terms

If you downloaded the App from the Apple App Store or Google Play Store, you acknowledge that:

• These Terms are between you and Tonic Works LLC, not with Apple Inc. or Google LLC
• Apple/Google are not responsible for the App or its content
• Your use of the App is subject to the applicable app store's terms of service
• Apple/Google have no obligation to provide support for the App
